These Terms of Service ("Terms") govern your access to and use of the services provided by Dkozai ("Dkozai," "we," "us," or "our") at dkozai.com and related subdomains (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.
1. The Service
Dkozai provides an AI-assisted personal operations service. Each client receives a dedicated AI agent configured to their brand, preferences, and connected platforms, and a corresponding dashboard for reviewing and approving agent-drafted content.
The Service is provided on a subscription basis pursuant to a separate order form or engagement agreement between you and Dkozai. These Terms apply in addition to any such agreement.
2. Eligibility and Account
You must be at least 18 years old and legally capable of entering into a contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. Authorized Connections
You may authorize the Service to connect to third-party accounts you control, including Google Workspace, Meta (Instagram and Facebook), X, and other supported platforms. You represent that you have the right to authorize each such connection. You may revoke any authorization at any time; revocation immediately terminates our ability to access that platform on your behalf.
4. Human-in-the-Loop and Drafts
The Service is designed to draft content for your review. Except where you explicitly configure otherwise for specific low-risk automations, Dkozai will not send messages, emails, posts, or other outbound content without your review and approval. You are solely responsible for content you approve for sending.
5. Fees
Fees, billing cadence, and payment terms are governed by your subscription order or engagement agreement. Fees are non-refundable except as required by law or as otherwise agreed in writing.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or the terms of service of any connected platform.
- Send unsolicited bulk messages, spam, or content that would violate platform anti-spam rules.
- Impersonate another person or misrepresent your identity.
- Attempt to access another user's account or data.
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service, except as permitted by applicable law.
- Use the Service to harass, defame, or infringe the rights of others.
- Introduce malware, exploit vulnerabilities, or interfere with the operation of the Service.
We may suspend or terminate your account for violation of this Section.
7. Intellectual Property
Dkozai retains all right, title, and interest in and to the Service, including all software, models, integrations, and content we create. You retain all right, title, and interest in your content and in the data from your connected accounts. You grant us a limited license to process your content and data solely to operate and improve the Service, subject to the Privacy Policy.
Content generated by the AI agent based on your inputs and data is your content. You are responsible for reviewing AI-generated output before use.
8. Third-Party Services
The Service integrates with third-party services including Anthropic, Google, Meta, X, and Cloudflare. Those services are governed by their own terms and privacy policies. We are not responsible for the acts or omissions of third parties.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Dkozai disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of AI-generated content.
AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing all AI-generated content before relying on it or sending it to others. Dkozai is not liable for consequences of unreviewed or improperly reviewed AI-generated content that you approve for sending.
10. Limitation of Liability
To the maximum extent permitted by law, Dkozai's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of one hundred dollars ($100) or the fees you paid to Dkozai in the twelve (12) months preceding the event giving rise to the claim.
In no event will Dkozai be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility of such damages.
11. Indemnification
You agree to defend, indemnify, and hold harmless Dkozai and its officers, agents, and employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising out of your use of the Service, your content, your violation of these Terms, or your violation of any third-party right, including any intellectual-property or privacy right.
12. Termination
You may terminate your account at any time by contacting koz3pm@gmail.com. We may suspend or terminate the Service or your account at any time for breach of these Terms, non-payment, or other legitimate reason, with reasonable notice where practicable.
Upon termination, we will delete your data in accordance with the Privacy Policy, subject to legal retention obligations.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Davidson County, Tennessee, and the parties consent to the exclusive jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Miscellaneous
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force. These Terms constitute the entire agreement between you and Dkozai regarding the Service, superseding all prior agreements on the same subject, except for any separately executed subscription order or engagement agreement.
